For the past several months the Executive Board Committee has been working to simplify the By-Laws and the Board of Directors. Below are the By-Laws you will be asked to vote for at the November monthly meeting. To highlight some of the changes: We have eliminated the positions on the Board that are appointed by the President. These positions have been changed to be committees that will advise the Board in the areas that the committees are concerned with. The Immediate Past President, which was mostly an advisory position, has been assigned specific duties.  We feel these changes will allow the Board to better represent the members of the OVWG. Article 1 – Organization and Location

The Ohio Valley Woodturners Guild (OVWG) is organized as a forum for individuals interested in woodturning and was originally chartered as the Tri State Chapter of the American Association of Woodturners (AAW) on October 22, 1988. The primary mission of the OVWG is fundamentally consistent with that of the AAW which is: “Promote the Art and Craft of Woodturning by providing information, education, and organization to people in the Greater Cincinnati (Tri State) areas who are interested in turning wood. Engage in service projects that leverage our woodturning skills”. The membership is expected to be drawn from, but is not limited to, the Greater Cincinnati, Ohio, geographic area of Southwest Ohio, Northern Kentucky and Southeast Indiana.

The purpose of this document is to inform and provide guidance and direction to Board members, to the membership in general, and to serve as a convenient reference. It will be posted on the website so as to inform new members about how the Guild operates. By documenting Board of Directors decisions and direction, it can also help to avoid reworking questions and decisions.

Article II – Office

The principle office of this organization will be located with the official location of the current Secretary. All correspondence should be addressed to the address shown in the Roster or the Newsletter.

Article III – Relation of OVWG to AAW

While it is understood that the AAW will provide advice and counsel, as requested, the nature and extent of the activities of OVWG is determined by the Board of Directors of the OVWG. Demonstrations, while part of the normal activities of the OVWG, are to be conducted solely at the discretion of the Board of Directors and all safety and instruction are to be under the explicit direction and control of the Board of Directors. As recommended by the AAW notice will be given to participants, by the demonstrator, that woodturning is potentially dangerous and that safety precautions should be followed.

Article IV – Purposes

In addition to the primary purposes, as stated in Article I, the other purposes of the OVWG are to:

  1. Provide a meeting location for Woodturners. In addition to monthly meetings, as outlined in Article VI, this also provides for establishing a permanent meeting location, to be called the OVWG Learning Center, either owned or leased by the OVWG, for activities that support the overall mission as enumerated above and contribute to meeting the additional objective(s) outlined below.
  2. Create programs to build and enhance woodturning skills for members, prospective members, and the general public as authorized by a consensus of the Board of Directors.Such programs may include demonstrations, classes taught by members or visiting professionals, open shop times, and mentoring programs. These should promote the sharing of ideas regarding woodturning including selection, operation and maintenance of lathes, woodturning and other tools, turning materials, turning techniques and design of turned objects.
  3. Exchange wood and other woodturning materials.
  4. Inform members about activities of interest to Woodturners.
  5. Promote woodturning as an art form and craft, both with OVWG members and working in partnership with other arts and or community organizations.
  6. Fulfill all of the requirements of a 501 (C) (3) non-profit organization.

 

Article V – Membership and Fees

  1. General Members = Members in good standing of both OVWG and AAW
  2. Associate Members = Members in good standing of OVWG but not members of AAW
  3. Student Members = Students under the age of 25. Student members under the age of 18 must be accompanied to meetings and activities with a parent or guardian. The student membership fee will be determined by the Board of Directors at a level to recover the costs associated with mailings and activity promotions. Student Members will be non-voting members.
  4. Lifetime Members = Members who have served the OVWG in an outstanding manner over several years. They are given Lifetime status by a vote of the Board of Directors.Committee chairpersons of the OVWG will by majority vote submit candidate’s names to the Board of Directors for consideration. Candidate’s names must be presented two months prior to planned presentation date.
  5. Membership Fees = The fees for membership in OVWG will be periodically reviewed and determined by the Board of Directors. Fees will be payable at the beginning of the calendar year. Fees for new members are payable upon joining. Members joining after the September meeting shall be considered to have paid for the following year.

Article VI - Meetings

  1. Meetings will be held at least six times per year.
  2. The general meeting structure is determined by the Board of Directors and currently includes an introduction and announcements, a demonstration, lunch, show & tell, awarding of door prizes (if available), another segment of demonstration, closing remarks and cleanup.Door prizes are discretionary, and will be offered at the discretion of the Board of Directors. Members will be encouraged to bring items for Show & Tell and/or instant gallery.
  3. General meeting fees will be set by the Board of Directors.These fees are intended to cover a portion of the total cost of providing the meetings over the course of a year, including costs for professional demonstrators, as calculated over the entire Guild season.
  4. First year membership dues will include an extra fee for a wooden name badge.
  5. Food, drink, and coffee are typically provided for each meeting. As a matter of policy it is not acceptable that attendees request to attend for a reduced cost due to not partaking of lunch and other refreshments.
  6. The Guild typically photographs members’ items, for publishing on the gallery portion of the website and in the newsletter. Members may download copies of pictures of their own work for their own purposes.
  7. The A/V committee is responsible for set up and operation of the A/V equipment at each meeting.
  8. OVWG members may sell supplies or services at meetings to other members of the Guild with the approval of the VP of Programming. The OWVG assumes no responsibility for the items sold and makes no warranty with regard to performance.

Article VII – Demonstrations

  1. When the OVWG schedules or is invited to present a demonstration of woodturning skills, the Chairman of Community Involvement will draw demonstrators from the list of approved demonstrators. Demonstrator must be an OVWG member in good standing. Proper safety equipment must be used.
  2. External demonstrations (ie: outside OVWG meetings) must be approved by the Board of Directors.
  3. Members may sell their own handmade items at an external demonstration, if it is consistent with the character of the event.
  4. The OVWG will not pay OVWG members for doing demonstrations, whether it be at an outside, special event, or at an OVWG meeting. This excludes professional demonstrators who are members of the OVWG at the behest of the Board of Directors. OVWG members may receive compensation for being Guest Demonstrators at OVWG Symposia. At the discretion of the Board of Directors, reasonable expenses incurred by member in connection with the demonstration may be reimbursed.
  5. The OVWG will typically buy or supply wood to be use by professional demonstrators. Demonstrators will be asked to give their demo pieces, made from OVWG supplied wood, to the OVWG, which will have the right to use those pieces for prizes, auctions, or other uses as considered appropriate.

 

Article VIII – Use of Learning Center and Equipment

  1. The Board of Directors will review and approve/sanction, as Guild Events, the activities and events scheduled for the Learning Center to ensure insurance coverage
  2. All expenditures for supplies and equipment for the Learning Center will be approved by the Board of Directors. The Vice President of Facilities and Equipment has blanket authority for individual expenditures up to $500.00 in value per month.
  3. OVWG members may serve as the assistant during classes taught by the professional demonstrator in the Learning Center. In those instances, the Guild will cover the cost of lunch meals for the OVWG member serving as the demonstrator’s assistant.
  4. Equipment such as mini lathes may be loaned to members for external demonstrations. The Guild member in charge of an outside demonstration using Guild equipment will be responsible for the safe and orderly return of all equipment items. Responsibility for lost or damaged items will be determined by the Board of Directors based on the circumstances.
  5. The Vice President of Facilities and Equipment is responsible for controlling access to the Guild’s equipment trailer.
  6. Audio visual equipment will be managed and maintained by the AV Chairman, who will be appointed by the President with the advice and consent of the Board of Directors.
  7. The OVWG has insurance through AAW and a secondary insurer to cover claims due to accidents.
  8. A video library is maintained by an OVWG member in good standing. The rate for non refundable deposits, currently $10.00 is set by the Board of Directors. Reimbursement for lost items will be equal to the cost of creating a new copy. If the member refuses to pay reimbursement for the lost item(s), his or her deposit will be forfeited and lending privileges suspended until a new deposit is made. The Board of Directors may assist when video(s) become excessively delinquent.

Article IX-Hosting Professional Demonstrators

  1. Professional demonstrators will generally be hosted by an OVWG member during their visit.
  2. Hosting responsibilities may include: pickup and delivery to the airport, local transportation, lodging, meals, etc.
  3. Hosts will be reimbursed at a reasonable rate for expenses incurred by the host. Mileage for local transportation to accommodate the demonstrator may be claimed at the current rate approved by the IRS.
  4. The cost of meals purchased for the demonstrator will be reimbursed. Receipts should be provided to the Treasurer.
  5. Home cooked meals provided for the demonstrator may be claimed for reimbursement at a reasonable rate. Examples: $5-$7 for breakfast, $7-$9 for lunch, $10-$12 for dinner. Claims are expected to be reasonable with respect to the size and cost of the meal provided.
  6. The VP of Programming is expected to make arrangements for the demonstrator to have a dinner or a meet and greet session with other members of the Board (usually on a Saturday evening) at a local restaurant or in the LC. The VP of Programming or the host will pay for the demonstrator’s meal and will be reimbursed by the Treasurer. The host may also be reimbursed for his/her own meal as well as that of her/his spouse if they are providing lodging. If a meet and greet is arranged, the students registered for the class are invited as part of the cost of the class.

Article X – Bereavement and Estate Policy

A policy has been posted on the website outlining how the Guild will recognize members who have passed away, and the services that the Guild can offer to the families of members to liquidate woodturning shops.

Article XI – Guild sponsored special events

  1. Fundraisers may be held for special purposes such as funding scholarships to enable Guild members to attend training events. The Board of Directors must agree to any fundraising event.
  2. Opportunities may exist at some sponsored events for members to sell their woodturned pieces.
  3. The Guild may seek the opportunity to provide outside demonstrations, in line with the Guild purpose, and may also be invited to do so.
  4. TurnFest is typically the September “kickoff” event for each Guild year. General members will be asked to demonstrate various skills. This event is free for all members and guests and the Guild provides lunch and refreshments.
  5. The OVWG Memorial Picnic and summer contest is typically the June closing event for each Guild year. This event is free for all members and guests. The OVWG typically ask members to perform demonstrations of various woodturning skills at this event. The Guild provides drinks and a light lunch (hot dogs, etc.). Members and guests are encouraged to bring side dishes for lunch. Spouses and guests are encouraged to attend.
  6. The VP of Programming is responsible for arranging the following types of events. He/she will also be reasonable for managing the cost of materials and attendance of events.
    1. Hands on sessions, which are held in conjunction with visits by professional turners. The Board of Directors will determine the fees to be charged for participation
    2. Multi-day classes to be taught by visiting professional turners. Fees to be determine by the Board of Directors.
    3. The Vice President of Programming or designee determines the cost for materials, if needed, for either single day hands on classes or multi-day classes.
    4. If someone signs up and later cancels, their fee may be refunded if there is a valid reason based on health, weather, or a family emergency.
    5. The VP of Programming will ensure any necessary materials are available. To procure wood, the Guild will pay a reasonable fee for both wet and dry wood and may charge a materials fee to the participants. The Guild will not pay for food or refreshments except for the professional turners’ expenses and the assistant.
  7. Chairman of Skill Development may annually arrange a schedule of summer home shop visits/demonstrations. Home shop demos/visits are given voluntarily. Fees are generally not charged, unless the format of the demonstration requires it, in which case the format and fees will be communicated in advance of the session. Materials are the responsibility of the OVWG member hosting the demonstration. The host for the session may be reimbursed for up to $25.00 per session for hospitality items. Any additional expenses must be approved by the Board of Directors.
  8. Contests
  1. Contest prizes/awards, if any, will be decided by the Board of Directors. Awards will be presented for first place, second place, third place, honorable mention, and best of show. All people present (members and guests) may vote for best of show award.
  2. There will be three skill classes – novice (for beginning turners), advanced, and master. If an experienced turner joins the Guild, he or she is expected to compete in the class that is commensurate with his or her skill level.
  3. After each contest, the member who wins first place in either of the Novice or Advanced classes must move up and compete at the next level. At any time, a member can voluntarily move up to the next class, but must then continue to compete at that level.
  4. Ribbons will be ordered by the Treasurer and distributed by the Secretary.

Article XII – Work Schedule for the Board of Directors

This outlines some of the recurring special topics that the Board of Directors will work on and when those topics should be addressed.

  1. January - Define the theme for summer contest and date for spring auction; finalize locations for the OVWG Memorial picnic and September Turnfest. Submit the application for Appalachian Festival
  2. April – Arrange for home shop demos and/or other summer Guild sponsored events, such as the pen turning for the troops.
  3. August – Discuss the lifetime membership award.
  4. September – Plan the January contest.
  5. October – Review for yearly Budget

Article XIII Scholarships

  1. The Guild annually provides scholarships via the Zeller and Choromokos Memorial Scholarship Program. Awarding the scholarships is in line with the overall intent of the Guild to promote learning about woodturning.The scholarships are to be used to defray a portion of the cost of attending woodturning classes. The Board of Directors will issue scholarships for internal classes offered by the OVWG. Funds cannot be applied to material fees.
  2. The scholarships are currently awarded in March of each year and must be used within 12 months unless otherwise stated.Any member in good standing may apply. Student members are required to become an Associate Member by paying full dues in order to apply for a scholarship. The scholarship recipients are required to submit a newsletter article highlighting their experiences and what they learned, for the benefit of the Guild.
  3. Individual scholarships may be awarded in memory of specific OVWG members who have passed away, at the request of and based on donations by that member’s family.
  4. Scholarships awards will be determined by the Board of Directors.

Article XIV Donations

Donations may be given, at the discretion of the Board of Directors, for purposes that are consistent with the purpose and mission of the OVWG.

Article XV Symposium

The OVWG conducts a woodturning symposium every two years. The symposium provides a major portion of the funding to support the operation of the Guild. A Chairperson is appointed by the President with the advice and consent of the Board of Directors to run each symposium.

 

 

Article XVI Mentorship

  1. The Board of Directors appoints members to act as mentors for members who wish to improve their skills in particular areas of woodturning. An effort will be made to have mentors in all geographic areas. Members can visit a mentor’s shop, arrange for a mentor to visit their home shop, or meet at the Learning Center during an open shop event. There is no charge to members for meeting with a mentor.
  2. The Board of Directors encourages the formation of special interest groups which may be formed based on location or interest in a specific aspect of woodturning. Information about these groups will be shared in the newsletter, at the request of the subgroup, or on the OVWG Website. These groups may meet at the Learning Center and have their events publicized on the OVWG Website Event Calendar. The OVWG will not finance or subsidize materials, refreshments, or other costs for the activities of these groups. The scope, focus and operation of these groups are entirely up to each group.

Article XVII Newsletter and Website

                                                                                                                                                                        

  1. The newsletter will be published in all months the guild has a meeting, and at other times at the discretion of the Board of Directors.Classified ads may appear in the newsletter with the approval of the newsletter editor. To reduce Guild expenses, members are encouraged to receive the newsletter electronically.
  2. Currently the website contains the newsletter, schedule of events, the instant gallery, personal galleries, educational information, links to woodturning resources, membership information, a classified section, and more. Members who do not wish to have pictures of their items put into a personal gallery should contact the webmaster.
  3. Documents posted on the website can be made available to the public, only to members, or to specific member groups, such as the Board of Directors. The Board of Directors will determine the visibility of documents.
  4. Web site to be maintained by the Web Master who is appointed by the President with the advice and consent of the Board of Directors

Article XVIII Officers

The officers of OVWG shall be President, Vice President of Programming (VPP), Vice President   of Facilities and Equipment (VPFE), Secretary, and Treasurer.

  1. Officers shall be elected for a term of two years. Members in good standing who have been members of OVWG for at least two years with a willingness to serve are eligible to seek these offices. Terms of office shall be staggered to enhance continuity. The President and Vice President of Programming shall be elected in odd numbered years; the Vice President of Facilities and Equipment, Treasurer, and Secretary in even numbered years.
  2. Officers shall be elected by a majority vote of those members casting ballots at a scheduled meeting or who have sent written ballots to be opened at such meeting. Elections shall have been announced at the preceding meeting and through an advance communication to the membership. Elections shall normally be held in April and newly elected officers shall assume office at the September meeting or whatever regular meeting follows the summer break.
  3. The outgoing President will automatically assume the non-board position of Immediate Past President for a term of two years upon election of a new President.Service in this position shall continue if the President is elected for another term(s) providing the occupant is willing to do so.
  4. The Board of Directors shall consist of the elected officers, which are President, Vice President of Programming, Vice President of Facilities and Equipment, Secretary, and Treasurer. All Board members are eligible to vote on matters brought before the Board. The Board shall normally meet each month in which a club meeting is held to conduct and oversee planning and other business. All OVWG members in good standing are eligible to attend meetings but only Board members are eligible to vote.
  5. The membership may remove any elected officer when it is deemed that the best interest of OVWG would be served by such removal. Removal will be accomplished by a majority affirmative vote of Associate/General members attending a meeting.The vote shall be announced at a regularly scheduled meeting and through an email from the Board of Directors. Voting will be made by secret ballot at a regularly scheduled meeting.
  6. Vacancies may be filled by the President with the advice and consent of the Board of Directors. A qualified member may be appointed to a vacant office, or the President may call for an election for a vacated Board of Director position. An election will be decided by a majority vote of members casting ballots at a regularly scheduled meeting.
  7. The President shall be the principle Board officer. The duties of President include, but are not limited to the following:
    1. Supervision and control of the business and affairs of OVWG
    2. Call or cause to be scheduled meetings of the Board of Directors and the general membership.
    3. Preside at all meetings except committee meetings which shall be presided over by the respective chairpersons.
    4. Appoint committees with the consensus of the Board of Directors.
    5. May serve as an ex-officio member of all committees but may appoint another officer as a stand-in.
    6. With the advice and consensus of the Board of Directors, appoint members to serve as Chairman of Skilled Development, Chairman of Learning Center Monitors and Safety Committee, Chairman of Board of Advisory Committee (BAC), Editor of OVWG Newsletter, Chairman of Youth Turning Committee, Chairman of Community Involvement, Chairman of Symposium Committee, Chairman of AV Development, Chairman of Hospitality, Chairman of Wood Committee. Additional roles such as Website Manager and others may be assigned to OVWG members in good standing as additional duties.
    7. May remove the occupants of appointed positions with consensus of the Board of Directors.
  8. Vice President of Programming (VPP) duties are as follows:
    1. In the absence of the President, or in the event of the President’s death, inability to serve, or refusal to act, the VPP shall perform the duties of the President. Assuming this is a temporary situation, when so acting, the VPP shall perform such other duties as may have been assigned by the President.
    2. With input and consent of the Board of Directors, the VPP will recruit and manage home grown demonstrators and professional demonstrators for monthly meetings, 1, 2, and 3 day classes. He/she will make arrangements for all OVWG events/demonstrations to include scheduling activities in the Learning Center and assure that insurance requirements are met. Input from annual surveys as well as from the Board of Directors can be used to determine who to invite/recruit and what events to schedule.
    3. The VPP will manage all details regarding the professional turners’ travel, hosting, meeting preparation, enrollment for classes, and related teams as needed.
    4. The VPP may define and implement a policy for allowing members to host private events in the Learning Center.
    5. The VPP may define and manage a policy for members selling items at meetings.
    6. The VPP shall recruit members for and Chair the Program Development Committee. The VPP may delegate to Committee members such duties he/she deems appropriate.
    7. The VPP will manage the Wood Team which is responsible for providing wood for demonstrations and classes of visiting professional turners and for OVWG members.
  9. Vice President of Facilities and Equipment (VPFE)
    1. In the absence of the Vice President of Programming, the VPFE shall perform the duties described in #8 above.
    2. The VPFE shall have responsibility for the tools, machines and real property owned by OVWG including, but not limited to: receipt, disposition, storage, maintenance, and other matters necessary to keep the property in proper condition. This includes the procurement and maintenance of equipment and supplies for the Learning Center. The VPFE shall maintain an up to date inventory of all of the OVWG”s physical assets, and shall also keep the Treasurer informed as to what has been disposed of, what is currently owned, and its condition for valuation purposes.
    3. The VPFE shall create with involvement of the Board of Directors a long term equipment acquisition plan.
    4. The VPFE or his designated representative shall have responsibility for preparation of equipment and supplies, setup of equipment, and tear down for all OVWG’s meetings.
  10. Secretary
    1. The Secretary shall solicit agenda items and publish the agenda for Board meetings and for other meetings where official business of the Guild is conducted.
    2. The Secretary shall keep minutes of Board meetings and those portions of regular meetings during which official business is conducted and shall distribute same to all Board members.
    3. He/she shall see that notices are duly given to members as required by the by-laws and shall maintain the official records including, but not limited to, a current copy of the by-laws, 501 (C) (3) letters, etc.
    4. The Secretary shall administer all contests to include acceptance and display of pieces, determination of compliance with stated criteria, provision of forms for judging, tabulation to determine winners, and any other required details.
    5. The Secretary shall administer annual elections. Providing a written ballot in cases where there is more than one candidate per position, count the vote, and announce the winners.
    6. In general, the Secretary will perform all duties incident to the office of Secretary and such other duties as may be assigned by the President.
    7. In the absence of a separate Newsletter Publisher, the Secretary shall publish and distribute a newsletter during months when general meetings are held and at such other times as directed by the President. Distribution shall include all members in good standing, the AAW office and such others as the President directs.
    8. File Charitable Registration Annual Report with the Ohio Attorney General Office.
  11. Treasurer
  1. The Treasurer shall collect all membership fees and other monies.
  2. The Treasurer is responsible for maintaining current and accurate records of all monies and investments.
  3. The Treasurer shall provide leadership in development of the annual budget. His/her involvement will include solicitation of budgetary needs of each of the other Board members and development of a draft budget document to be presented to the Board of Directors for approval.
  4. The Treasurer shall work with other members of the Board to develop and maintain a rolling 5 year financial plan.
  5. The Treasurer shall file an annual information return to the Internal Revenue Service whenever the gross receipts of OVWG equal or exceed $25,000 using Form 990 or 990EZ and shall retain a copy of this Form and its supporting ledgers available for public inspection for three years after the later of the due date of the return or the date the return is filed. At the conclusion of said three year period, said supporting ledgers shall be destroyed but copies of the filings shall be retained for internal use and / or inspection by the IRS for seven years.
  6. The Treasurer will collaborate with the President to make sure adequate insurance coverage is maintained for all aspects of the operation of the Guild. He/she is responsible for payment of policy premiums in a timely manner.
  7. The Treasurer shall serve as a member of the Symposium Committee.
  8. In general, the Treasurer will perform all the duties incident to the office of Treasurer and such other duties as may be assigned by the President.

Article XIX Appointed Board Positions

The President, with the advice and consensus of the Board of Directors, may appoint members to serve as Chairman of Skill Development, Chairman of Learning Center Monitors and Safety Committee, Chairman of Board of Advisory Committee (BAC), Editor of OVWG Newsletter, Chairman of Youth Turning Committee, Chairman of Community Involvement, Chairman of Symposium Committee, Chairman of AV Development, Chairman of Hospitality, Chairman of Wood Committee, Web Master, and other committees as needed.

Article XX Immediate Past President (IPP)

   The IPP will Chair the Nominating Committee and work with the Committee to assure that potential candidates for Board and Committee Chairpersons positions are identified early and nurtured in such a manner as to assure continuity of leadership. The IPP may serve in an advisory capacity to the President when needed. The IPP will welcome new members to the OVWG with an email and/or phone call to explain the benefits of membership. The IPP will plan the December Holiday Party when and if the Board approves this event.

 

 

 

Article XXI Nomination of Officers

The President with the advice and consent of the Board of Directors will appoint members to the Nominating Committee in September at the start of the Guild’s turning/fiscal year. The Nominating Committee will consist of the Immediate Past President of the OVWG, who will serve as Chair, plus four members of the OVWG who are not members of the Board. The Nominating Committee is expected to be active year round. Duties of the nominating committee will include:

  1. To encourage and gather input from members on interest to serve in an elected position on the board.
  2. Ensure the minimum qualifications are met and communicate qualifications required for board elected positions to member who is interested.
  3. Ensure the availability and willingness of a member to serve.
  4. The chair will advise the President of all the names of members willing to serve and the President will then submit these candidates to the membership for a vote.
  5. Present to the President qualified members able to serve in committee positions to be appointed by the President.
  6. Chairman will maintain a record of communications and communicate on a regular basis with the Board of Directors.

    

Article XXII Indebtedness

All functions of OVWG are on a cash basis. OVWG may not incur any debt through the actions of the officers or its members.

Article XXIII Disclaimers Fiscal and Legal

AAW and OVWG are legally separate entities and specifically dissociate themselves from any debts, obligations or encumbrances of the other. Neither OVWG nor AAW shoulders any legal liability for accidents that occur during events of any kind sponsored or unsponsored by the other organization.

Article XXIV Insurance

As a chapter of AAW, OVWG will utilize insurance available through and required by AAW as well as additional forms of insurance as authorized by the Board of Directors. All demonstrators and attendees at OVWG events approved by the Board of Directors must be covered by insurance.

 

 

 

Article XXV Amendments

These By-Laws may be altered, amended, or repealed. New By-Laws may be adopted by a vote of the simple majority of the qualified, members of OVWG casting ballots at a meeting of the members. Proposed changes to these By-Laws shall be announced at least one month in advance of the meeting at which the vote will be taken via an advanced email notification to the membership. Copies of all modifications to these By-Laws must be filed with the Administrative Office of AAW.

Article XXVI Member Notifications

Annually, in the September edition of the newsletter, the membership shall be notified of the following information:

  1. The name, address and phone number of each of the elected officers.
  2. The primary and correspondence mailing address of OVWG.
  3. The membership fee structure.

Article XXVII Quorum and order of Business

A quorum shall consist of those members present at a scheduled meeting of the members or a majority of the Officers present at a scheduled Board Meeting. Meetings shall be conducted following the usual rules of parliamentary procedure, the use of which is to facilitate proceedings. The principles are: the majority rules, the minority has the right to be heard, courtesy shall be extended to all. In the event of a dispute, Roberts Rules of Order, Modern Edition shall be consulted.

Article XXVIII Books and Records

The Books and records of OVWG in keeping with its status as a 501 (c) (3) non-profit corporation shall be made available for public inspection with the consent of the majority of the Board of Directors.

Article XXIX Indemnification

OVWG may indemnify any officer, or member who is a party or is threatened to be a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative, other than an action by or in the right of OVWG by reason of the fact that the individual is or was an officer, employee, member or agent of OVWG or is or was serving at the request of OVWG against expenses, including reasonable attorney’s fee, judgments, fines and amounts paid in settlement actually and reasonably incurred by the individual in connection with such action, suit, or proceeding if the individual acted in good faith and in a manner the individual reasonably believed to be in or not opposed to the best interests of OVWG and with respect to any criminal proceedings, if the individual had no reasonable cause to believe that the conduct was unlawful.

Article XXX Ownership of this Document

The Secretary will maintain this Document, ensuring that it remains up to date and consistent with the By-Laws of the Guild, and the decisions made by the Board of Directors.
